CREATING AN ACCOUNT

You have to create an Account (“Comp4Sales Account”) to be able to use certain features of our Website. To create your Comp4Sales Account, you must register into our Website with your name (or username) and an email address (Sign Up). The Sign Up will enable you to have a Member Account. After signing up, you must choose either a Free Membership or a Premium Membership to subscribe on our Website and use our Materials. Each Membership’s prices per month and services provided are outlined at our Website, before and during Sign Up. All Memberships run on a monthly basis. Your Membership will renew automatically. If you choose to have a Free Membership, you can upgrade your Membership to Premium Membership at any time. You can also downgrade your membership provided that your current Membership expires first.

In order to subscribe to a Membership with your Comp4Sales Account, you may be required to provide us with your Bank account details to deduct payments for the Membership you have chosen for your Member Account. Comp4Sales shall in no way be responsible for any incorrect payment. You are responsible for making sure the data provided is correct and accurate for payment processing for your Membership.

You must be at least 18 years old and able to enter into legally binding contracts to access and use our Website or register a Comp4Sales Account. By accessing or using our Website you represent and warrant that you are 18 or older and have the legal capacity and authority to enter into a contract.

By creating and registering a Comp4Sales Account, you further represent and warrant that your use of our Website shall at all times be in compliance with these Terms and Conditions any and all applicable laws and regulations. By failing to do so, we reserve the right to suspend or immediately delete your account without notice.

You should not register more than one Comp4Sales Account. You may not assign or otherwise transfer your Comp4Sales Account to another person. If you are registering an account on behalf of a company or any other business entity, it is your responsibility to ensure that you undertake all necessary permissions to register a Comp4Sales Account on the behalf of such company or business entity.

You are not permitted to share your Comp4Sales Account with other people. It is important to keep your account password and any device from which you access our Website secure. You are responsible for maintaining the confidentiality and security of your Comp4Sales Account credentials and may not disclose your credentials to any third party. You must immediately notify Comp4Sales if you know or have any reason to suspect that your credentials have been lost, stolen, misappropriated, or otherwise compromised or in case of any actual or suspected unauthorized use of your Comp4Sales Account.

You are responsible for your Comp4Sales Account and for any activity on your Comp4Sales Account, unless such activities are not authorized by you and you are not otherwise negligent (such as failing to report the unauthorized use or loss of your credentials). Depending on your membership, the creation of a Member Account will enable you to access features of our Website and interact with our database and material for advice on compensation plans. To do so, you must comply with the following code of conduct when using our Website:

You will use and access our Website in accordance with the Terms and Conditions. Any problem concerning a technical issue regarding a Member’s internet service provider is not Comp4Sales’s responsibility.

You will be solely responsible in assessing the suitability and quality of our Materials for your needs, and verifying the accuracy of any statement made in our Materials and other content on our Website.

You guarantee that you will access our Website for lawful purposes and you are thus solely responsible for the knowledge of and adherence to any and all laws, rules, and regulations pertaining to the use of our Website

FEES AND PAYMENTS

Comp4Salesmay charge fees to Members upon creation of a Membership (“Membership Fees”) or for acquiring any other Services that we may provide (“Services Fees”). Any applicable Membership Fees (including any applicable Taxes) will be displayed to a Member before and after Sign Up on our Website. Any applicable Service Fees will be displayed on our Website prior to accessing or acquiring such a Service. Comp4Sales reserves the right to change the Membership Fees and Service Fees at any time, and we will provide Members adequate notice of any fee changes before they become effective.

Any and all payment processing services through or in connection with your use of our Website are provided to you by Stripe. Stripe allows and assists our Website to deliver, hold, or receive payment for you to subscribe on a Membership and/or acquire any of the Services we provide. You hereby agree to the use of Stripe for the facilitation of our Website payments, and to holding any payment and billing information for undertaking all payments.

Membership Fees and Service Fees are non-refundable.

THIRD PARTY SERVICES

Our Website may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services may be subject to different terms and conditions and privacy practices. Comp4Sales is not responsible or liable for the availability or accuracy of such Third-Party Services, or the content, products, or services available from such Third-Party Services. Links to such Third-Party Services are not an endorsement by Comp4Sales of such Third-Party Services.

During use our Website, you may purchase goods and services from third-party merchants. Any such activity, and any disputes, terms, conditions, warranties or representations associated with that activity, is solely between you and the applicable third party. Certain functions of our Website, will require an active internet connection. The connection can be Wi-Fi, or provided by a mobile network provider, but Comp4Sales cannot take responsibility for our Website not working at full functionality if you do not have access to an active internet connection. You must not access (or attempt to access) our Website by any means other than the interface provided, and you will not use information from our Website for any purpose other than the purposes for which it is made available.

If, in our opinion, you are in breach of these provisions, your right to use our Website will cease immediately and you must either return or destroy (as required by us) any copies of the materials you have made.

MODIFICATION OF THESE TERMS

Comp4Sales reserves the right to modify these Terms at any time in accordance with this provision.

If we make changes to these Terms, we will post the revised Terms on our Website and update the “Last Updated” date at the top of these Terms.

We will also provide you with notice of the modifications by email at least thirty (30) days before the date they become effective.

If you disagree with the revised Terms, you ask us to cancel your Comp4Sales Account with immediate effect.

TERMINATION OR SUSPENSION OF COMP4SALES ACCOUNT

You may terminate the effect of these Terms and Conditions at any time by cancelling your Comp4Sales Account via the “Delete Account” feature on our Website. If you cancel your Comp4Sales Account, any paid services will be automatically cancelled.

Without limiting our rights specified below, Comp4Sales may terminate the effect of these Terms and Conditions by cancelling your Comp4Sales Account at any time by giving you thirty (30) days’ prior written notice via email to your registered email address as a result of inactivity. Inactivity will be determined by your last access in your Comp4Sales Account. An inactive Comp4Sales Account will be any Comp4Sales Account that has not been accessed for a period longer than one month.

Comp4Sales may immediately, without notice terminate the effect of these Terms and Conditions at any time by cancelling your Comp4Sales Account if at any time:

you have materially breached your obligations under these Terms and Conditions;
you have violated applicable laws, regulations or third party rights,
when Comp4Sales believes in good faith that such action is reasonably necessary to protect the personal safety or property of Comp4Sales or its Members and/or associated third parties (for example in the case of fraudulent behaviour of a Member),
you provided us false or misleading information, or
your actions may cause legal liability for you or other Members or Comp4Sales and/or associated third parties.

In case of non-material breaches and where appropriate, we will give you notice of any intended measure by Comp4Sales and an opportunity to resolve the issue to Comp4Sales’s reasonable satisfaction.

On termination of your Account, you are not entitled to a restoration of your Comp4Sales Account. If your access to or use of our Website has been limited or your Comp4Sales Account has been suspended, you may not register a new Comp4Sales Account or access and use our Website through a Comp4Sales Account of another User.

The clauses of these Terms that reasonably should survive termination of the Agreement will remain in effect.

If any part of the Terms is found to be unenforceable, that part will be limited to the minimum extent necessary so that the Terms will otherwise remain in full force and effect. Our failure to enforce any part of the Terms is not a waiver of our right to later enforce that or any other part of the Terms.

CHANGES TO THE TERMS

If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

Comp4Sales’s failure to enforce any right or provision in these Terms and Conditions will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

Except as expressly set forth in these Terms and Conditions, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.

You may not assign, transfer or delegate this Agreement and your rights and obligations hereunder without Comp4Sales’s prior written consent. Comp4Sales may without restriction assign, transfer or delegate this Agreement and any rights and obligations hereunder, at its sole discretion, with 30 days prior notice. Your right to terminate this Agreement at any time remains unaffected.

Unless specified otherwise, any notices or other communications to Users permitted or required under this Agreement, will be in writing and given by Comp4Salesvia email.

JURISDICTION AND APPLICABLE LAW

The English courts will have exclusive jurisdiction over any claim arising from, or related to, a visit to our site. These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
